Iowa Health System d/b/a UnityPoint and Sanford Health propose an affiliation
resulting in a change in the articles of corporation of both not-for-profit entities
whereby Sanford UnityPoint Health (a newly created entity) will become the sole
corporate member of Iowa Health System d/b/a UnityPoint and Sanford Health.
There will be no change in the licensees/operating entities of the facilities or the
owners of the health care sites or physical plants. The anticipate closing date is
December 31, 2019.
Upon closing of the transaction Sanford UnityPoint Health will have the power
to control both Sanford and UnityPoint. The Board of Directors of the Sanford
UnityPoint Health will consist of an equal number of individuals from Sanford and
UnityPoint. The current CEO of Sanford will serve as the CEO of Sanford UnityPoint
and the current CEO of UnityPoint will serve as the sole Senior Executive Vice
President of Sanford UnityPoint. The Boards of both UnityPoint and Sanford will
cede their authority to Sanford UnityPoint Health except for overseeing compliance
with the terms of the agreement and helping to accomplish Sanford UnityPoint
Health’s governance, management and operating initiatives
This exemption applications were called complete on November 12, 2019.
Written requests (no emails or faxes will be accepted) for a public hearing must
be received by the Illinois Health Facilities and Services Review Board no later than
November 27, 2019. The applications can be viewed at the offices if the Illinois
Health Facilities and Services Review Board at the address below or at the State
Board’s website (https://www.illinois.gov/sites/hfsrb/Pages/default.aspx)
